Welcome to Convisnta. These Terms of Service ("Terms") govern your access to and use of the Convisnta website, courses, and services. Please read these Terms carefully. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using the Convisnta website, registering for any of our courses, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use our services.

2. Changes to Terms

We may modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any such changes constitutes your acceptance of the revised Terms.

3. Services Description

Convisnta provides public speaking training, coaching, and educational resources through various formats, including in-person workshops, virtual courses, coaching sessions, and online materials. The specific details, terms, and conditions for each service or course are provided at the time of registration or enrollment.

4. Account Registration and Security

Some of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities and content that occurs or is submitted under your account

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms.

5. Payment Terms

5.1 Fees and Payment

The fees for our services are provided at the time of registration or enrollment. All payments must be made in advance unless otherwise specified. By providing a payment method, you authorize us to charge the applicable fees to that payment method.

5.2 Refunds

Our refund policy varies depending on the specific service or course. The applicable refund policy will be provided at the time of registration or enrollment. In general:

  • For in-person workshops, cancellations made more than 14 days before the start date are eligible for a full refund.
  • Cancellations made between 7-14 days before the start date are eligible for a 50% refund.
  • Cancellations made less than 7 days before the start date are not eligible for a refund.
  • For online courses, refunds may be requested within 7 days of purchase if no more than 20% of the course content has been accessed.

All refund requests must be submitted in writing to [email protected].

5.3 Taxes

All fees are exclusive of applicable federal, provincial, state, local or other taxes. You are responsible for all applicable taxes, which may be added to your fees.

6. Intellectual Property Rights

6.1 Our Content

All content, materials, and resources provided through our services, including but not limited to text, graphics, logos, images, audio, video, software, and course materials (collectively, "Content"), are owned by or licensed to Convisnta and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Content solely for your personal, non-commercial educational purposes. You may not:

  • Reproduce, distribute, publicly display, or publicly perform any Content
  • Modify, adapt, or create derivative works of any Content
  • Reverse engineer, decompile, or disassemble any software included in the Content
  • Remove any copyright, trademark, or other proprietary notices from any Content
  • Use any Content for commercial purposes
  • Transfer or sell access to our services or Content to third parties

6.3 User Content

You may have the opportunity to submit content, such as comments, feedback, or assignments (collectively, "User Content"). By submitting User Content, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that:

  • You own or have the necessary rights to submit the User Content
  • The User Content does not infringe upon the intellectual property rights or privacy rights of any third party
  • The User Content complies with these Terms and all applicable laws

7. Prohibited Conduct

You agree not to:

  • Use our services for any illegal purpose or in violation of any laws
  • Use our services to harm, threaten, or harass any person or to promote discrimination
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt our services or servers or networks connected to our services
  • Attempt to gain unauthorized access to any part of our services, accounts, or systems
  • Use any robot, spider, scraper, or other automated means to access our services
  • Introduce any viruses, trojan horses, worms, or other harmful code
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our services

8. Disclaimers

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding our services, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

  • Our services will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • Our services are free of viruses or other harmful components
  • The results of using our services will meet your requirements

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Convisnta, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you to us during the 12 months preceding the event giving rise to the liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Convisnta, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes arising from these Terms or your use of our services.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and us regarding our services.
